These Terms & Conditions ("Terms") govern your use of the ZYVORA LLC website and any bookkeeping or payroll services provided by ZYVORA LLC ("ZYVORA," "we," "us," or "our"). By visiting our website or engaging our services, you agree to be bound by these Terms.

02Scope of Services

ZYVORA LLC provides bookkeeping, reconciliation, payroll processing, accounts payable and receivable support, financial reporting, and related administrative services, as described on our Services and Pricing pages. The exact scope of services provided to a client is determined by the plan selected and any agreement made directly between ZYVORA LLC and the client.

04Client Responsibilities

To deliver accurate bookkeeping and payroll services, clients agree to:

  • Provide accurate and complete business, financial, and employee information;
  • Grant necessary access to bank feeds, accounting software, or payroll platforms;
  • Respond to requests for clarification or missing documentation in a timely manner;
  • Review reports and statements provided and flag any concerns promptly.

Delays or inaccuracies in client-provided information may affect the accuracy or timeliness of services delivered.

05Billing & Packages

Services are billed as a single, one-time payment for the package selected, as outlined on our Pricing page. Packages are priced based on transaction volume, number of connected accounts, and payroll headcount; a project whose actual scope exceeds the package selected may require moving to a higher tier before work continues. Payment and cancellation details are further described in our Refund & Cancellation Policy.

06Third-Party Software & Accounts

Our services may involve the use of third-party bookkeeping and payroll platforms, such as QuickBooks Online, Xero, Gusto, or ADP. ZYVORA LLC is not responsible for outages, errors, or policy changes originating from these third-party platforms, though we will make reasonable efforts to work around any such issues.

07Confidentiality

We treat client financial and payroll information as confidential and use it only to provide the services described in these Terms and our Privacy Policy.

08Limitation of Liability

ZYVORA LLC provides services on a reasonable-efforts basis. To the fullest extent permitted by law, ZYVORA LLC is not liable for indirect, incidental, or consequential damages arising from the use of our website or services, including delays or errors caused by inaccurate or incomplete client information, or by third-party software outages.

09Termination

Either party may end a service arrangement as described in our Refund & Cancellation Policy. ZYVORA LLC reserves the right to suspend or end services for non-payment or for providing false or misleading business information.

10Website Use

Our website content is provided for general information about ZYVORA LLC's services. You agree not to misuse the website, attempt to access it through unauthorized means, or use its content for purposes unrelated to evaluating or engaging our services.

11Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles, and without prejudice to any other rights you may have under applicable law.

12Changes to These Terms
